EXPLANATORY NOTE
This registration statement on Form S-8 is being filed by Vulcan Infrastructure and Power Inc. (the “Company”) for the purpose of registering an additional 2,500,000 shares of the Company’s Class A common stock, par value $0.0001 per share (“Common Stock”), under the Company’s Fourth Amended and Restated 2021 Equity Incentive Plan, which was amended and restated, effective as of September 7, 2026, to increase the number of shares of Common Stock authorized for issuance thereunder by 2,500,000 shares. Each of the Company’s Registration Statements on Form S-8 (File Nos. 333-260257, 333-272238, 333-284956 and 333-288141) filed with the Securities and Exchange Commission (the “SEC”) on October 14, 2021, May 26, 2023, February 14, 2025 and June 18, 2025, respectively, is incorporated by reference herein.

Section 145 of the Delaware General Corporation Law (the “DGCL”) provides that a corporation may indemnify directors and officers as well as other employees and individuals against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement in connection with specified actions, suits or proceedings, whether civil, criminal, administrative or investigative (other than an action by or in the right of the corporation – a “derivative action”), if they acted in good faith and in a manner they reasonably believed to be in or not opposed to the best interests of the corporation and, with respect to any criminal actions or proceedings, had no reasonable cause to believe their conduct was unlawful. A similar standard is applicable in the case of derivative actions, except that indemnification only extends to expenses (including attorneys’ fees) actually and reasonably incurred in connection with the defense or settlement of such actions, and the DGCL requires court approval before there can be any indemnification where the person seeking indemnification has been found liable to the corporation. The DGCL provides that it is not exclusive of other rights to indemnification that may be granted by a corporation’s bylaws, disinterested director vote, stockholder vote, agreement or otherwise.
Our amended and restated certificate of incorporation, as amended, and amended and restated bylaws, as amended, provide for indemnification of directors and officers to the fullest extent permitted by law, including payment of expenses in advance of resolution of any such matter.
We have entered into indemnification agreements with each of our directors and executive officers. These agreements, among other things, require us to indemnify each director and executive officer to the fullest extent permitted by Delaware law, including indemnification expenses such as attorneys’ fees, judgments, fines and settlement amounts incurred by the director or executive officer in any action or proceeding, including any action or proceeding by or in right of us, arising out of the person’s services as a director or executive officer.
Insofar as indemnification for liabilities arising under the Securities Act may be permitted to directors, officers or persons controlling the Company under the foregoing provisions, we have been informed that in the opinion of the SEC, such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable.
